bttrfly Founding Ambassador Program Terms & Conditions
1. Agreement and eligibility
These Terms & Conditions (“Terms”) govern the bttrfly Founding Ambassador Program (“Program”) operated by bttrfly Inc. (“bttrfly,” “we,” or “us”). By selecting the agreement checkbox and submitting an application, you agree to these Terms. Applying is free, acceptance is discretionary, and no membership purchase is required. An “Ambassador” is an applicant accepted into the Program whose required onboarding is complete and whose referral link or code has been activated.
Applicants must be at least 18 years old, reside in the United States, and provide accurate information. Parents, caregivers, community members, creators, and others may apply.
Onboarding follows four stages: application; application review; secure onboarding and verification; activation and welcome. Approved applicants must acknowledge the quick-start guide and disclosure rules, complete secure tax onboarding under Section 9, and resolve required corrections before activation. An assigned dormant link is not available for attributed referrals. Attribution starts only after activation.
“Start Date” is the date specified in the activation email sent after approval, required onboarding and verification, and activation and availability of the assigned referral link or code. The email states the Start Date, welcome-bonus deadline, and end of the initial-cap period. The Start Date is Day 1. Day 60 and Day 90 end at 11:59 p.m. Eastern Time on their respective calendar dates. The clocks do not start while onboarding or a pre-activation review is incomplete.
“Studio” means bttrfly’s business platform and related services. “Founding Membership” means the eligible paid annual Studio membership at the price disclosed at checkout. “Purchase Date” means the date payment is successfully captured, rather than the order, authorization, or verification date. Purchase timestamps and all Program calendar deadlines are measured in Eastern Time. “Verification” means confirmation of referral eligibility, attribution, legitimate business activity, settled and unreversed payment, and program-integrity checks. “Emmy” means bttrfly’s AI parenting assistant.
You agree to receive Program communications at your registered email. Keep that address current.
2. Your role
You may introduce eligible businesses to bttrfly Studio using your assigned link or code and approved program information. You decide whether, when, and how to make permitted introductions, and you use your own tools, time, and judgment. There are no required hours, quotas, or minimum sales.
You may not bind bttrfly, negotiate membership terms, collect customer payments, or represent yourself as a bttrfly employee, agent, or representative.
You are an independent contractor, not an employee, partner, joint venturer, or agent of bttrfly. The parties intend that you are not eligible for wages, benefits, or workers’ compensation from bttrfly, and that you are responsible for your own expenses and taxes, in each case to the extent consistent with applicable law. Nothing in these Terms waives rights that applicable law does not permit you to waive, and these Terms do not determine classification if a court or agency concludes otherwise under applicable law.
3. Eligible referrals
A “Qualifying Referral” is a legitimate business that:
- purchases its first paid annual Founding Membership at the then-current price with a Purchase Date as defined in Section 1;
- is attributed to you under Section 4;
- has never previously held a paid Studio membership; and
- has a payment that has successfully settled and remains unreversed through Verification.
A “legitimate business” is a real, operating business that was not created or used primarily to obtain a reward.
A business with a free Studio profile may qualify if it has never held a paid Studio membership. Creating a free profile earns no reward by itself; only the later qualifying purchase does. Free registrations, trials, monthly subscriptions, renewals, previous paid members, fraudulent, refunded, or charged-back purchases, and self-referrals do not qualify.
A self-referral includes a business you own or control.
Only one referral reward is available per business. Separate accounts or locations do not create additional rewards unless bttrfly approves them in writing. Other promotions cannot be combined unless expressly authorized in writing.
Promotional and complimentary periods
A purchase made during or after a complimentary, trial, or promotional membership period is a Qualifying Referral only when payment for the paid annual Founding Membership has been successfully collected. A complimentary or free period does not by itself create, delay, or extend any reward, eligibility window, or deadline under these Terms.
4. Referral attribution
A valid assigned referral code entered at checkout takes priority. Otherwise, the most recent valid tracked Ambassador-link click within 30 days before the Purchase Date receives credit. Attribution is available only after link activation. Creating a free profile or entering a trial does not extend the 30-day window. A single purchase cannot generate rewards for multiple Ambassadors.
Tracking can be affected by browser settings, device changes, and technical limitations. Report a missed referral, calculation, or adjustment to support@bttrfly.app within 30 days after the first written determination or completed reward summary that gives you enough information to identify the disputed item. A pending-verification notice does not start this period. Do not send sensitive customer information. We will reasonably review available records and explain the determination. This administrative review period does not shorten a statutory filing deadline or waive rights that cannot lawfully be waived.
5. Rewards and welcome bonus
You earn a $25 gross digital gift card reward for each verified Qualifying Referral. Rewards apply only to the initial eligible annual purchase. There are no renewal commissions and no rewards for recruiting other Ambassadors.
You may also earn a one-time $50 digital gift card welcome bonus if five Qualifying Referrals have Purchase Dates from your Start Date through Day 60, inclusive. Purchases with Purchase Dates in that period may complete Verification afterward, and do not lose eligibility solely because Verification finishes after the 60th day. The bonus becomes payable when all five purchases have been verified and required tax onboarding is complete, subject to applicable law.
For example, five Qualifying Referrals earn $125 in referral rewards plus the $50 bonus, or $175 in total gross rewards. Rewards are delivered through one or more digital gift cards totaling the gross amount less any legally required withholding under Section 9. The net card value may therefore be lower than $175.
No earnings or number of referrals is guaranteed. Reward issuance is subject to Verification and applicable tax requirements.
6. Initial referral limit
From your Start Date through Day 90, inclusive, rewards are limited to the first 20 ultimately Qualifying Referrals, ranked by Purchase Date. If an earlier purchase is disqualified, the next otherwise qualifying purchase from that initial period moves into an available place. Later Verification does not change a Purchase Date. No more than 20 referral rewards are payable for that period unless bttrfly approved a higher limit in writing before the affected purchases occurred. A purchase beyond the final initial-period cap does not become eligible merely because Day 91 arrives. Adjustments to rewards already issued follow Sections 12 and 14.
For purchases from Day 91 onward, there is no ongoing numerical referral cap under these Terms. All other eligibility and verification rules continue to apply. The one-time $50 welcome bonus is separate from the initial referral cap. Reward summaries show progress toward the cap.
7. Verification and issuance
A purchase becomes eligible for Verification 30 calendar days after the Purchase Date. Cancelling automatic renewal alone does not disqualify an otherwise eligible purchase or postpone Verification until the paid term expires.
We target completion of ordinary reviews within 10 business days after eligibility. A specific fraud, attribution, tax, or payment issue may require additional review. We will document the reason, notify you of a material delay where legally permitted, and provide updates at least every 30 calendar days while an extended review continues. Payment must remain settled and unreversed.
Rewards verified during a calendar month are generally issued by the 15th of the following month, subject to required documentation and lawful holds. The welcome bonus is issued after all five qualifying purchases are verified. There is no additional minimum payout threshold. We send a reward summary with each monthly issuance cycle, including when rewards remain pending. Summaries show purchase dates, gross amounts, any withholding, net amounts, and status. The 30-day waiting period is not a promise of payment within 30 days; issuance may take more than two months depending on timing and review.
8. Gift-card-only compensation
All rewards and bonuses are issued exclusively as digital gift cards. No cash, bank transfer, check, or other payment option is offered, except where required by law. Available brands currently include Target, Walmart, Lowe’s, Ulta, and Amazon, subject to availability and issuer terms. Rewards are issued through bttrfly’s designated gift card provider.
When your first verified reward is ready, we will ask you to choose an available brand. We may use that preference for later rewards unless you request a change before issuance. If your selected brand is unavailable, we will contact you to choose another available brand. We will not reduce an earned reward because a brand is unavailable.
Rewards may be delivered through one or more cards totaling the net amount owed after required withholding under Section 9. Keep your delivery email accurate and protect gift card codes. Contact us promptly about delivery or redemption problems; we will reasonably assist with the issuer. If a card is not delivered to your registered email, or delivery fails, we will reissue it. Otherwise, once issued, cards generally cannot be exchanged or replaced except as permitted by the issuer or required by law. Issuer terms apply, including any fees or expiration dates. The brands named above are trademarks of their owners and do not sponsor, endorse, or administer the Program.
9. Tax information, withholding, and reporting
Rewards and bonuses are generally taxable compensation. Participants are responsible for their own federal, state, and local tax liabilities and required income reporting, even if no information return is issued. bttrfly remains responsible for its applicable withholding, remittance, and reporting duties.
Before referral-link activation, you must complete tax onboarding through our designated secure process. U.S. persons generally provide a completed and certified IRS Form W-9 or compliant electronic substitute. Other applicable documentation may be requested where appropriate. We may request corrections or updated documentation after activation. A U.S. residence does not by itself establish U.S.-person status for federal tax purposes.
Required checks may include name/TIN matching and duplicate-account review. One verified TIN may ordinarily be associated with only one active Ambassador account, with a correction and review process for legitimate duplicates. TIN matching checks a name/TIN combination; it does not independently establish identity or guarantee exemption from withholding. A shared device or network is a review signal, not proof of fraud.
For calendar year 2026, the general federal Form 1099-NEC reporting threshold for applicable nonemployee compensation is $2,000 in aggregate reportable payments to a recipient during the calendar year, subject to applicable exceptions. For applicable payments under Internal Revenue Code sections 6041(a) and 6041A(a), the 2026 aggregate threshold relevant to backup withholding also increased to $2,000; bttrfly applies the threshold and withholding rules as required by law. This is not an earnings cap or tax-free allowance. Federal reporting is required regardless of amount when federal backup withholding is taken. State reporting may differ. Later-year thresholds and reporting follow then-applicable law.
When required under applicable rules, including applicable missing/incorrect-TIN and IRS notice procedures, bttrfly will apply federal backup withholding. The federal rate is 24% for 2026. State withholding, if applicable, is determined separately. Providing a W-9 or passing a TIN match does not permanently eliminate withholding obligations.
Rewards are gross amounts before required withholding. When withholding is legally required, bttrfly deducts the required amount from the gross reward, issues the remaining amount as a digital gift card, and remits the withheld cash to the appropriate tax authority. For illustration only, if a $25 payment is legally subject to backup withholding after applying the relevant aggregate threshold and other applicable rules, and only the 24% federal rate applies, that payment produces a $19 gift card and $6 federal remittance. This example illustrates the calculation, not an independent withholding trigger. Gross compensation and withholding are reported as required. Net rewards are issued in exact amounts; provider denomination constraints do not authorize rounding down.
bttrfly may temporarily hold issuance while reviewing documentation or resolving tax compliance issues and will notify you of next steps. A hold does not automatically forfeit earned rewards and does not replace or postpone legally required withholding, remittance, reporting, or unclaimed-property obligations. Incomplete pre-activation onboarding does not start attribution or the program clocks. There is no automatic 180-day forfeiture of earned rewards.
Do not send SSNs, TINs, or bank information through public forms, ordinary email, or social media. Use the designated secure process. Personal information and any supported fraud-screening checks are handled under the Privacy Policy and applicable law. Records may be retained for administration, accounting, tax compliance, and disputes.
10. Honest promotion and disclosure
Clearly disclose your compensated relationship whenever you promote bttrfly as an Ambassador. Example: “I’m a bttrfly Ambassador and earn gift card rewards when an eligible business joins through my link.” Place the disclosure where people will notice it, alongside the endorsement or link and in the same format (spoken in video and live content as well as written). Do not rely on a profile page, bio, or link-in-bio alone. Do not rely on ambiguous tags like #sp, #spon, or #Ambassador as your only disclosure.
Statements must be truthful and reflect your actual experience. Do not claim to have used features you have not used. Do not post testimonials or reviews that misrepresent your experience. Do not promise leads, revenue, bookings, guaranteed visibility, or guaranteed inclusion in Emmy’s recommendations, and do not make income, savings, or performance claims that are not in approved program materials. Use current, approved pricing and membership information.
We may ask you to correct or remove inaccurate or noncompliant materials, and you will do so within 3 business days of our request.
11. Prohibited activity
Do not:
- send spam or unlawful outreach, including unsolicited texts or calls, autodialed or automated messages (see the Telephone Consumer Protection Act), or email that does not comply with the CAN-SPAM Act;
- use purchased contact lists;
- create fake businesses, accounts, purchases, or testimonials;
- make self-referrals;
- recruit Ambassadors for compensation;
- offer unauthorized discounts, rebates, or incentives;
- post codes on coupon sites;
- run paid ads using bttrfly trademarks, or bid on bttrfly or Studio names as search keywords, without written permission;
- impersonate bttrfly or create misleading accounts or domains;
- collect payment details or sensitive personal information on our behalf; or
- violate applicable law, platform rules, intellectual property rights, or privacy.
12. Program integrity and suspected fraud
bttrfly may review applications, referrals, purchases, and reward claims to protect the Program. Prohibited conduct includes creating or coordinating fake or duplicate accounts; using false or stolen identities or payment information; manipulating links, attribution, or tracking; arranging purchases primarily to obtain rewards through deception; and coordinating with others to circumvent Program rules or limits.
We may temporarily hold a reward, suspend a referral link, or request reasonably necessary information when there is a reasonable basis to investigate suspected fraud, a payment dispute, duplicate activity, or another material violation. A hold does not itself establish fraud. We will review the matter and provide notice of a material delay or decision, with the reason where we lawfully can, when permitted and appropriate, and consistent with the status-update cadence in Section 7. Contact support@bttrfly.app to provide information or request review.
We may decline or reverse rewards attributable to fraudulent, duplicate, refunded, charged-back, or otherwise ineligible transactions. For an improperly issued reward, bttrfly may seek recovery or offset against future rewards to the extent permitted by law. If a referral used to qualify for the welcome bonus is later ineligible, bttrfly may recalculate bonus eligibility and seek recovery or offset an improperly issued bonus as permitted by law. We may also decline or reverse a reward where the purchase was generated through a material violation of Sections 10 or 11, including spam or deceptive claims. An unrelated violation does not automatically cancel legitimate rewards. We will provide an explanation where legally permitted and an opportunity to request review under Section 4.
We may suspend or terminate participation for fraud or a material violation. Legitimate qualifying referrals remain payable, subject to Verification and applicable law.
13. Brand materials
bttrfly grants a limited, nonexclusive, revocable right to use the program materials we provide solely for authorized Program promotion. You may not alter those materials or use them in a way that suggests bttrfly endorses you or your other activities. bttrfly retains ownership of its names, marks, and materials. You retain ownership of your original content. We will request separate permission before reusing it beyond a platform’s ordinary sharing functions.
14. Refunds, disputes, and program changes
Refunded, charged-back, duplicate, fraudulent, or otherwise ineligible purchases do not earn rewards. Disputes about attribution, calculations, or adjustments follow Section 4, including its rule that pending-verification notices do not start the review period. We will notify you of an adjustment, explain the available basis, and reasonably review your response.
You may leave at any time by contacting us. We may suspend or terminate participation for fraud, a material breach, unlawful conduct, or reasonable program administration grounds. Where practical, we will provide notice and an opportunity to correct a remediable issue.
Purchases completed before termination remain eligible if they otherwise satisfy these Terms. A valid tracked click made before termination may qualify through its original 30-day attribution window. A code-only introduction may also qualify if bttrfly’s records or reasonably reliable evidence establish that the business received your assigned code before termination and purchases within 30 days after that documented introduction. Neither window restarts at termination. A qualifying pre-termination code referral retains Section 4 priority only within that preserved window. Entry of an inactive code alone does not establish a pre-termination introduction or create new attribution. No new clicks or introductions after termination earn credit. Otherwise eligible rewards remain payable subject to Verification, applicable limits, and law.
We may change or end the Program prospectively with at least 30 days’ email notice; immediate changes may be necessary to address legal requirements or fraud. Changes do not reduce rewards earned under the terms applicable when an eligible purchase occurred. Earlier purchases may finish Verification and remain payable unless disqualified. After termination, stop presenting yourself as a current Ambassador and stop using Program-specific materials.
Payments for bttrfly Studio paid memberships are non-refundable except where required by applicable law. Cancelling automatic renewal does not provide a refund or credit for unused time. Cancelling automatic renewal leaves paid access active through the end of the current subscription term, and the subscription will not automatically renew after that term. Cancellation alone does not reverse an eligible referral. Refunds required by law, payment reversals, and chargebacks remain subject to the adjustment rules above.
15. Disputes, tolling, and Connecticut law
Before commencing a court action, either party must send a brief written notice describing the dispute, requested resolution, and current contact details. Send notices to bttrfly Inc. at support@bttrfly.app, preferably with the subject “Legal Notice — Ambassador Program.” bttrfly sends notices to your registered email. Email notice is received on the next business day after transmission unless the sender receives a delivery-failure notice; actual earlier acknowledgment establishes earlier receipt.
For 30 calendar days after receipt, both parties will attempt good-faith informal resolution. To the extent legally permitted, applicable limitation periods for claims identified in the notice are tolled during that period, and neither party will assert a time-based defense based solely on that elapsed period. This does not revive already expired claims or promise extension of a statute of repose, jurisdictional deadline, or other deadline that cannot lawfully be extended. Earlier termination of the period requires mutual written agreement.
Either party may file whenever reasonably necessary to preserve a claim or other legal right, including when the effectiveness of tolling is uncertain. Such filing is not a breach. Where appropriate and legally permitted, the parties will request a stay through the remaining informal period. A stay is subject to court approval; required service, court deadlines, protective steps, and emergency relief remain permitted.
Either party may seek urgent injunctive or provisional relief from a competent court to prevent imminent irreparable harm. Nothing requires advance notice to bttrfly, permission, negotiation, or delay before contacting, reporting to, filing with, testifying before, or cooperating with a government agency or law enforcement, or making another legally protected disclosure.
These Terms are governed by Connecticut law, without applying conflict-of-law rules to select another jurisdiction’s law, subject to mandatory applicable protections. Except for eligible small-claims proceedings and non-waivable venue rights, court disputes must be brought in Connecticut state courts serving the Judicial District of Danbury or, where federal subject-matter jurisdiction exists, the United States District Court for the District of Connecticut. The parties consent to personal jurisdiction in those courts.
Either party may bring an eligible individual small-claims action in a competent court having territorial jurisdiction after the informal period, subject to the protective-filing and urgent-relief exceptions above. These Terms contain no mandatory arbitration provision or general class-action waiver.
16. Platform availability and limitation of liability
bttrfly does not guarantee uninterrupted or error-free Program, tracking, or Studio access. To the extent permitted by law, services are provided as available without warranties beyond those that cannot lawfully be excluded. Missed referrals may be submitted for review under Section 4.
EXCEPT FOR THE EXCLUSIONS BELOW AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, BTTRFLY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS DATA, ARISING FROM THESE TERMS OR THE PROGRAM, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THEIR POSSIBILITY.
SUBJECT TO THE SAME EXCLUSIONS, THEIR TOTAL CUMULATIVE LIABILITY ARISING FROM THESE TERMS OR THE PROGRAM WILL NOT EXCEED THE GREATER OF $500 OR THE GROSS REWARDS PAID OR PAYABLE TO YOU UNDER THE PROGRAM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE ACT OR EVENT GIVING RISE TO THE CLAIM.
BOTH THE DAMAGES WAIVER AND DOLLAR CAP, INCLUDING PROTECTION OF THE PERSONS LISTED ABOVE, EXCLUDE: BTTRFLY’S OBLIGATION TO PAY EARNED REWARDS; FRAUD, WILLFUL OR INTENTIONAL MISCONDUCT, OR GROSS NEGLIGENCE; AND LIABILITY OR REMEDIES THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. REWARD VERIFICATION MUST FOLLOW THESE TERMS AND MAY NOT BE UNREASONABLY WITHHELD OR DELAYED. LAWFUL TAX WITHHOLDING AND PAYMENT ADJUSTMENTS STILL APPLY.
These limitations allocate risk under the Program and apply only to the extent permitted by applicable law.
17. Confidentiality
Non-public information we give you about the Program, Studio, unannounced pricing, or product plans (“Confidential Information”) may be used only to participate in the Program, and you may not disclose it. Confidential Information does not include information that is public through no fault of yours, that you already knew or independently developed, that you lawfully received from someone else, or that is in approved program materials meant for public sharing. You may disclose Confidential Information where required by law. These confidentiality duties continue for three years after participation ends; duties concerning trade secrets continue for as long as the information remains protected as a trade secret under applicable law. The protected-disclosure exceptions below continue to apply.
Nothing in this Section prevents you from reporting a suspected violation of law to a government agency, participating in a government investigation, or making a disclosure protected by applicable whistleblower law. In addition, under 18 U.S.C. § 1833(b), an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that is made (i) in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law, or (ii) in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.
An individual bringing a retaliation action for reporting a suspected violation of law may disclose the trade secret to their attorney and use it in the proceeding if documents containing it are filed under seal and it is not otherwise disclosed except by court order. No advance notice or permission is required for a protected disclosure.

A delay or failure to enforce a provision is not a waiver of it.
Assignment
You may not assign your rights or obligations without our written consent. bttrfly may assign these Terms to a successor or affiliate.

You agree to sign and receive notices electronically.
Events beyond our control
bttrfly is not responsible for delays caused by events beyond its reasonable control.
